Terms & Conditions

The software license and subscription agreement between LendingWise and its clients.

Last updated: October 31, 2026

These Terms & Conditions (the “Agreement”) are a software license and subscription agreement between The Loan Post, Inc., dba LendingWise (“LendingWise,” “we,” or “us”), and the business that subscribes to the LendingWise platform (“Licensee” or “you”). By signing an order form, accepting a proposal or invoice, creating an account, or using the Software, Licensee agrees to this Agreement, and the person accepting confirms that they are authorized to bind Licensee. If an order form, proposal, or invoice accepted by both parties (an “Order”) conflicts with this Agreement, the Order controls for that subscription.

1. License

LendingWise grants Licensee a non-exclusive, non-transferable, limited license, for the subscription term, to use LendingWise’s web-based CRM, loan origination, servicing, and related software (the “Software”), as described in the Order and Exhibit A, for Licensee’s business in the United States. Licensee may access the Software through LendingWise-hosted domains or through a domain Licensee designates for white-label use.

2. Restrictions and acceptable use

Licensee will not modify, copy, duplicate, reproduce, reverse engineer, resell, license, or sublicense the Software, or transfer or give access to the Software or any right in it to anyone other than Licensee’s authorized users, without LendingWise’s prior written consent. Licensed sites and domains are listed in the Order and may be changed by agreement of both parties in exchange for fair consideration in fees. Licensee will not use the Software for any unlawful purpose, to send messages in violation of law, or to attempt to test, bypass, or breach the Software’s security.

3. Fees and payment

  • Licensee will pay the license, setup, and other fees stated in the Order or invoice.
  • Setup and onboarding fees are due at the start of setup and cover the onboarding period and training sessions stated in the Order.
  • License fees are billed in advance on the billing schedule Licensee chooses: monthly, quarterly, semi-annually, or annually. Quarterly and annual billing may be offered at a discount.
  • Licensee authorizes LendingWise and its payment processor to charge Licensee’s payment method on file for fees when they are due.
  • If fees are more than 20 days past due, LendingWise may suspend access to the Software after notice to Licensee, until the account is paid.

4. Term and renewal

Each subscription has an initial term of twelve (12) months, starting on the subscription start date (the first paid day after any free trial). The subscription renews automatically for additional twelve (12) month terms unless either party gives written notice of non-renewal at least thirty (30) days before the end of the current term. The term is twelve months whatever the billing schedule: monthly, quarterly, and semi-annual billing are installment payments of the annual subscription, not shorter terms.

5. 30-day money-back guarantee

If Licensee is not satisfied with the Software, Licensee may cancel by written notice within thirty (30) days of its first subscription start date and receive a full refund of the license fees paid. Setup, onboarding, training, website, custom programming, loan document setup, and third-party fees are not refundable unless the Order says otherwise. The guarantee applies once, to Licensee’s first subscription.

6. Cancellation and early termination

After the first thirty (30) days, Licensee may end its subscription before the end of the current term by giving written notice and paying an early termination fee equal to three (3) months of license fees at Licensee’s then-current rate. Access continues through the end of the current billing period. License fees already paid, including annual prepayments, are not refundable after the first thirty (30) days, and no early termination fee applies to a term that has already been paid in full. Notices of cancellation or non-renewal may be sent by email to support@lendingwise.com.

Either party may also terminate this Agreement if the other party materially breaches it and does not cure the breach within thirty (30) days of written notice.

When a subscription ends, LendingWise will provide a full export of Licensee’s data on request and will then delete it from LendingWise’s databases, except for copies in backups, which expire on their regular schedule, and information LendingWise must keep by law.

7. Price changes

LendingWise may increase license fees by up to 15% no more than once in any twelve (12) month period, with at least thirty (30) days’ written notice.

8. Taxes

In addition to all other amounts due, Licensee will pay or reimburse LendingWise for all federal and state sales, use, excise, and similar taxes measured by payments made under this Agreement. Licensee is never responsible for taxes on LendingWise’s income or for LendingWise’s privilege of doing business.

9. Warranties

Title. LendingWise represents and warrants that it owns the Software and has the right to grant the rights in this Agreement.

Functionality. LendingWise warrants that the Software will perform in all material respects according to LendingWise’s specifications when used with appropriate computer equipment. This means:

  • The Software will perform under LendingWise’s then-current specifications to produce documents for Licensee to review and approve, such as loan applications, 1003s, HUDs, and mortgage instruments. Licensee must review and approve all auto-generated documents. Custom packages can be developed at Licensee’s request for a fee.
  • The Software will organize Licensee’s files, store sensitive information such as dates of birth and Social Security numbers securely, and encrypt sensitive information and uploaded documents (PDFs, images, Word documents, and others) in transit and at rest.
  • Server uptime is guaranteed 99% of the time, with planned downtime for maintenance or upgrades scheduled during late-night, non-business hours.

If Licensee believes this warranty has been breached, Licensee will promptly notify LendingWise. Licensee’s sole remedy is for LendingWise to correct the Software so that it performs according to this warranty, for issues within LendingWise’s control.

10. Software maintenance

  • Standard maintenance. LendingWise provides new, corrected, and enhanced versions of the Software as it releases them, which happens weekly and sometimes daily. These include improvements to speed, efficiency, and ease of use, and new capabilities. LendingWise may, at its sole discretion, offer certain upgrades or functionality at a cost agreed to by both parties.
  • Enhancement maintenance. Licensee receives ongoing enhancement maintenance during the subscription term, included in the license fee. Licensee may request optional additional maintenance or custom programming in writing, at the rates in Exhibit A or a price agreed to by both parties.
  • Industry and regulatory maintenance. LendingWise maintains the Software to keep up with industry changes affecting the loan application process, proposal generation, and other modules for loan origination, servicing, and related lending functions. LendingWise makes these changes in a timely manner but does not guarantee a specific time frame. Licensee is encouraged to send suggestions and regulatory updates to LendingWise.

11. Customer Data, privacy, and security

Ownership and use. Licensee owns all data that Licensee and its users enter or upload into the Software (“Customer Data”). LendingWise uses Customer Data only to provide and support the Software, keep it secure, and comply with the law. LendingWise will not disclose Customer Data to third parties except to service providers that help operate the Software and are bound by confidentiality and security obligations, to third-party services that Licensee chooses to use (such as credit report or background check providers) and only in connection with those services, or as required by law. LendingWise will never use Customer Data for solicitation or to compete directly or indirectly with Licensee.

Privacy Policy. How LendingWise collects, uses, and protects personal information is described in the LendingWise Privacy Policy, which is incorporated into this Agreement.

Safeguards. Licensee may be subject to privacy and information security laws, including Section 501(b) of the Gramm-Leach-Bliley Act, the FTC Safeguards Rule (16 C.F.R. Part 314), and the Interagency Guidelines Establishing Information Security Standards (collectively, the “Privacy Laws”), which require Licensee to ensure that its service providers appropriately safeguard non-public personal information, including personal or financial information about Licensee’s former, current, or prospective customers or employees (“Customer Sensitive Data”). To the extent LendingWise receives Customer Sensitive Data, LendingWise represents and warrants that it has, and will maintain, administrative, technical, and physical safeguards designed to: (i) ensure the security and confidentiality of Customer Sensitive Data; (ii) protect against anticipated threats or hazards to its security or integrity; and (iii) protect against unauthorized access to or use of Customer Sensitive Data that could result in a breach as defined under the Privacy Laws, or substantial harm to Licensee or to any individual whose information Licensee holds.

LendingWise will provide Licensee with information about its privacy and information security systems, policies, and procedures that Licensee reasonably requests to confirm compliance with this Agreement and the Privacy Laws, including through the LendingWise Trust Center. LendingWise trains personnel who may come into contact with Customer Sensitive Data on the Privacy Laws and LendingWise’s information security policies. If LendingWise discovers any actual or suspected theft, unauthorized use, or disclosure of Customer Sensitive Data, it will make all reasonable efforts to investigate, correct the cause, and remediate the results, and will notify Licensee as soon as practicable, with further information and assistance as reasonably requested. Before disclosing Customer Sensitive Data to a third party to perform the services, LendingWise will ensure the recipient agrees to terms materially equivalent to these.

Licensee’s part. Licensee is responsible for managing its users’ access and for protecting its account from access through compromised usernames and passwords. LendingWise backs up Customer Data daily, and Licensee can export its data from the Software.

12. AI features

The Software includes optional AI features, such as the AI Document Review Agent. Licensee controls whether they run, and on which documents and loans. How LendingWise and its AI providers handle Customer Data in AI features is described in the LendingWise AI Governance & Data Protection Policy (PDF). AI results are recommendations: Licensee is responsible for reviewing them and for all lending decisions.

13. Third-party services

The Software connects to third-party services, such as credit reports, background checks, e-signature, document preparation, and pricing. Those services are provided by third parties under their own terms, may carry separate fees, and are not LendingWise’s responsibility.

14. Licensee responsibilities

Licensee is responsible for researching, understanding, and complying with all current and future local, state, and federal laws and regulations that apply to its lending, loan modification, and foreclosure-related services, and for providing all disclosures those laws require to its customers. LendingWise may provide standard forms, disclosures, and loan document templates for convenience. They are not legal advice, and Licensee must have its own legal counsel review them before use. Licensee is responsible for training and supervising its agents, branches, account executives, and back-office employees on use of the Software. LendingWise offers “train the trainer” sessions for Licensee’s managers.

Licensee will indemnify LendingWise against third-party claims arising from Licensee’s lending activities, its use of documents and disclosures, or its violation of law.

15. Publicity

LendingWise may use Licensee’s company name and logo to identify Licensee as a customer, including on social media to announce the relationship. Licensee can opt out at any time by emailing support@lendingwise.com.

16. Warranty disclaimer

LENDINGWISE’S WARRANTIES IN THIS AGREEMENT ARE EXCLUSIVE AND ARE IN PLACE OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

17. Limitation of liability

LendingWise is not responsible for, and will not pay, any incidental, consequential, or other indirect damages, including lost revenue or legal liability, even if LendingWise was advised of the possibility of those damages, whether the claim is based on contract, tort, strict liability, product liability, or any other legal theory.

18. Notices

Notices under this Agreement must be in writing and delivered by hand, certified mail (postage prepaid), recognized overnight delivery, or email. Email to support@lendingwise.com is acceptable notice to LendingWise. LendingWise may send notices to the email address on Licensee’s account.

19. Changes to this Agreement

LendingWise may update this Agreement from time to time and will post the updated version on this page. For material changes, LendingWise will notify Licensee by email or in the Software at least thirty (30) days before they take effect. Continued use of the Software after that date means Licensee accepts the updated Agreement.

20. Governing law and arbitration

This Agreement is governed by the laws of the State of Florida.

If a dispute arises about this Agreement or its interpretation, either party may deliver written notice of the dispute to the other. After a fifteen (15) day “cooling off” period, during which the parties will meet at reasonably convenient times to discuss it, any unresolved dispute will be decided by expedited arbitration in Miami, Florida. The parties will share arbitration fees and costs equally as they arise, although the arbitrator may reallocate them in the award. Judgment on the award may be entered in any court of competent jurisdiction. All discussions and documents prepared in an attempt to resolve a dispute under this section are confidential, for settlement purposes only, and may not be admitted in any court or other forum as an admission or otherwise against either party.

21. General

Severability. If a court of competent jurisdiction holds any term of this Agreement invalid or unenforceable, the rest of the Agreement remains in full force and effect.

Entire agreement. This Agreement, together with the Order, the Privacy Policy, and the AI Governance & Data Protection Policy, is the entire agreement between the parties about the Software.

Exhibit A: Services and fees

Fee-based services are listed here. Actual amounts are in the Order or invoice.

  • Software: web-based CRM, loan origination, servicing, and related modules, hosted by LendingWise and available on LendingWise domains or Licensee’s white-label domain.
  • Term: twelve (12) month subscription, billed monthly, quarterly, semi-annually, or annually.
  • Setup and training: includes web form integration with Licensee’s website or a form hosted by LendingWise, and on-demand training and support by live chat, email, phone, and online meetings.
  • Dedicated / managed VIP support: fast-track deployment by customizing the Software, configuring workflows, and optimizing the experience for every user type, including borrower, broker/agent, branch, and back-office users. Pricing varies by client requirements; see the Order.
  • Custom programming: billed at $175 per hour. In most cases there is no additional charge for features already on our roadmap or improvements to the platform.
  • Custom (auto-populating) forms and loan documents: the Software includes a library of forms, disclosures, and loan documents. Licensee may use them for its business, but must have its own legal counsel review and validate them. LendingWise is not a law firm and does not represent that the provided documents are legally acceptable in any state. Lenders often provide their own approved loan documents, which our team makes available in their account for a one-time setup fee that depends on complexity, page count, and the number of auto-populating fields, typically $250 to $1,200.
  • Maintenance and support: bug corrections, phone support, ongoing upgrades, and weekly updates are included in the license fee. Support is available Monday through Friday, 8:00am to 7:00pm Eastern, at 888-400-6516 or support@lendingwise.com.
  • Every subscription includes: hosting on redundant cloud infrastructure in the United States; daily backups of all Licensee data, with export available to Licensee; encryption of sensitive data and uploaded documents in transit (HTTPS) and at rest; and periodic updates to keep up with industry standards and regulations (feature requests are accepted case by case, and fees may apply).
